1. Acceptance of Terms

By accessing or using Locksmith Software Tools, you confirm that:

• You are at least 18 years of age or have parental consent
• You have the legal capacity to enter into a binding agreement
• You will comply with all applicable laws and regulations
• All information you provide is accurate and up-to-date

2. Account Registration

Creating an Account

To use the Services, you must create an account by providing:

• A valid email address
• A unique username
• A secure password
• An organization code (to join an existing organization or create a new one)

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your password meets security requirements

Organization Accounts

When you join or create an organization:

• All users within your organization can view and access shared items and groups
• The first user to create an organization becomes the organization contact
• Organization data is shared among all organization members
• You may only access data from your own organization (unless you are an administrator)

3. Subscription and Free Trial

Free Trial

New accounts receive a 14-day free trial period. During the trial:

• You have full access to all App features
• No payment information is required
• You may cancel at any time without charge
• Your account will be marked as "trial" status

Paid Subscription

After the trial period, continued use requires a paid subscription:

• Plan: Monthly Subscription — billed on a monthly basis
• Price: The current subscription price is displayed in the App at the time of purchase and is set by the App Store. Prices may vary by region.
• Payment: iOS in-app subscriptions are billed through your Apple Account via the App Store. Stripe is used only for physical NFC tag purchases made on our website — it is not involved in iOS subscription billing.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You may cancel your subscription at any time through your Apple Account settings

Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period
• Refunds are provided at our discretion on a case-by-case basis
• No refunds for partial subscription periods

4. NFC Tag Purchases

We offer NFC tags for purchase through our website at https://tagitapp.com/checkout:

• Pricing: NFC tags are sold at the current price displayed at checkout
• Payment: Payment is processed securely through Stripe
• Shipping: We ship to addresses in the United States and Canada only
• Order Confirmation: You will receive an email confirmation after successful payment
• Delivery: Delivery times vary by location
• Returns: NFC tags are non-returnable once shipped unless defective

5. Acceptable Use

Permitted Use

You may use the Services to:

• Track and manage physical assets using NFC tags and QR codes
• Organize items by groups and locations
• Share data with members of your organization
• Store location information, descriptions, and metadata about items
• Access your data from multiple devices

Prohibited Use

You may NOT:

• Use the Services for any illegal purpose
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble the App
• Use automated systems to scrape or extract data
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Services or servers
• Impersonate another person or organization
• Violate any applicable laws or regulations
• Share your account credentials with others
• Resell or redistribute the Services without authorization

6. User Content and Data

Your Data

You retain ownership of all data you create in the App, including:

• Item names, descriptions, and metadata
• Group information and organizational data
• Location coordinates and addresses
• NFC tag associations and scan history

License to Keyway

By using the Services, you grant Keyway a limited license to:

• Store and process your data to provide the Services
• Display your data within your organization
• Backup and secure your data
• Analyze anonymized, aggregated data to improve the Services

Data Responsibility

You are responsible for:

• The accuracy and legality of data you upload
• Ensuring you have rights to any content you submit
• Backing up critical data independently
• Not storing sensitive personal information unnecessarily

7. Intellectual Property

Keyway's Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Keyway and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the App
• Use Keyway's trademarks without written permission
• Remove or alter any copyright notices

Third-Party Services

The App integrates with third-party services including:

• Apple Maps (subject to Apple's Terms of Use)
• Apple Universal Links
• Stripe (for payment processing)

Your use of these services is subject to their respective terms and conditions.

8. Location Services

The App uses location services to:

• Automatically populate GPS coordinates when creating items
• Display item locations on maps
• Store location data with your items

Location access is optional and can be controlled through your device settings. Location data is only collected when you actively use the "Add Location" feature.

9. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

10. Service Availability

We strive to provide reliable Services, but we do not guarantee:

• Uninterrupted or error-free access
• That the Services will meet all your requirements
• That data loss will never occur
• Availability of any specific feature

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

11. Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYWAY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of business opportunities
• Damages resulting from unauthorized access to your account
• Any damages exceeding the amount you paid to Keyway in the past 12 months

No Liability for Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services integrated with the App.

12. Indemnification

You agree to indemnify and hold harmless Keyway, its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of another party
• Content you submit or share through the Services

13. Termination

Termination by You

You may terminate your account at any time by:

• Contacting us at [email protected]
• Requesting account deletion through the App (if available)

Upon termination, your data will be deleted in accordance with our Privacy Policy.

Termination by Keyway

We may suspend or terminate your account if:

• You violate these Terms
• Your payment method fails or your account is past due
• We detect fraudulent or suspicious activity
• Required by law or legal process

Effect of Termination

Upon termination:

• Your access to the Services will be revoked immediately
• Your data may be deleted after a reasonable grace period
• You remain liable for any outstanding payments
• Provisions of these Terms that should survive will remain in effect

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon:

• Updating the "Last Updated" date at the top of this page
• Posting the revised Terms in the App or on our website
• Sending email notification (for material changes)

Your continued use of the Services after changes constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the United States and the state in which Keyway is headquartered, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through:

• Good faith negotiation between the parties
• Binding arbitration if negotiation fails
• Arbitration conducted in accordance with the American Arbitration Association rules

Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keyway.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time.

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

18. Apple App Store Terms

If you downloaded the App from the Apple App Store, the following additional terms apply in accordance with Apple's Standard End User License Agreement (EULA):

License Grant

The App is licensed, not sold to you. Keyway grants you a nontransferable license to use the App on any Apple-branded device that you own or control, as permitted by the App Store Usage Rules. You may not:

• Transfer, redistribute, or sublicense the App to any third party
• Use the App on any device you do not own or control
• Distribute the App over a network where it could be used on multiple devices at the same time

You must remove the App from your Apple-branded device before transferring ownership of that device to another person.

Maintenance and Support

• These Terms are an agreement between you and Keyway — not between you and Apple
• Apple has no obligation whatsoever to provide any maintenance or support services for the App
• Keyway, not Apple, is solely responsible for the App and its content

Warranty

• Apple has no warranty obligation with respect to the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the App, if any
• To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App
• Any other claims, losses, liabilities, damages, costs, or expenses arising from a warranty failure are Keyway's sole responsibility

Product Liability and Third-Party Claims

Keyway, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession or use of the App, including:

• Product liability claims
• Claims that the App fails to conform to any applicable legal or regulatory requirement
• Claims arising under consumer protection, privacy, or similar legislation
• Intellectual property infringement claims

Technical Data Collection

Keyway may collect technical data and related information — including but not limited to technical information about your device, system software, and application software — that is gathered periodically to facilitate software updates, product support, and other services related to the App. This data may be used to improve Keyway's products and services, provided it does not personally identify you.

External Services

The App may enable access to third-party services and websites. Use of such services is at your sole risk. Keyway is not responsible for examining or evaluating the content or accuracy of such third-party services and does not warrant and will not have any liability for the content of such services. Keyway reserves the right to change, suspend, remove, disable, or impose access restrictions or limits on any external services at any time without notice or liability to you.

Apple as Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Export Compliance

• You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country
• You represent and warrant that you are not listed on any U.S. Government list of prohibited or restricted parties

19. Export Controls

You agree to comply with all applicable export and import laws and regulations. You may not use the Services if you are prohibited from receiving U.S. exports.

20. Acknowledgment

By using Keyway, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
